Gersan Electricity Trade and Industry Inc. (Gersan) Members of the Board of Directors are fixed for all members at the Ordinary General Assembly Meeting each year.

A fixed fee determined by the General Assembly is paid to the Members of the Board of Directors, regardless of whether they are executive or non-executive.

Payment plans based on the company's performance cannot be used in the remuneration of the Independent Members of the Board of Directors.
Members of the Board of Directors are paid on a pro-rata basis, taking into account the time they have been in office as of the dates of their appointment and departure.
Gersan aims to work with a fair and competitive Wage Management System that is accepted by the employees.

Senior Executive fixed fees; It is aimed to be determined in accordance with international standards and legal obligations, taking into account the macroeconomic data in the market, the wage policies prevailing in the market, the size and long-term goals of the Company, and the positions and productivity of individuals.
The total amounts determined according to these principles and paid to the members of the Board of Directors during the year, as well as all other benefits provided, are disclosed to the public as the total amount through the Corporate Governance Principles Compliance Report and submitted to the approval of the shareholders at the following general assembly meeting.
